Incorporate or register the operating entity in Florida, appoint a registered agent, obtain an EIN, adopt governing documents, and open a verified corporate bank account and domain-verified corporate email.
No contract, employment offer, bank account, insurance policy or investor communication may be issued before the entity is verified.
Engage qualified sanctions counsel, obtain a written analysis of the Venezuela Sanctions Regulations as applied to the concept, and define a specific-licence or documented general-licence pathway.
No negotiation, payment, letter of intent or counterparty commitment involving Venezuelan hydrocarbons before written authorization or a counsel-confirmed pathway.
Engage local counsel to map the hydrocarbons, corporate, tax, customs, labour and environmental requirements, and to confirm which activities are lawfully available to a foreign-owned entity and under what structure.
No in-country activity, local hiring, site selection or representation before the pathway review is complete and consistent with U.S. authorization.
Statement
The concept contemplates a Florida parent entity holding a separate Venezuela-facing vehicle. The Venezuelan vehicle would be formed only after U.S. sanctions counsel confirms an authorization pathway and Venezuelan counsel confirms the regulatory route. Neither entity currently conducts operations.
Formation and verification of the Florida entity are in progress. No registration number, tax identification number or Venezuelan registry entry is published, because none has been verified. The company will not publish an identifier it cannot evidence.
The company holds no OFAC licence and no Venezuelan approval. The Venezuelan vehicle would be capitalised, staffed or used only under a specific licence or a counsel-confirmed general-licence pathway, with restricted-party screening, beneficial-ownership analysis and anti-corruption controls in place first. If authorization is unavailable, the vehicle is not formed and the concept does not proceed.
